1. Introduction

Welcome to Astorion Australia (“Astorion”, “we”, “our”, or “us”). 

These Website Terms of Use and Ecommerce Terms and Conditions govern your access to and use of our website, online store, customer portal, wholesale ordering platform, and all related products and services available through www.astorion.com.au.

By accessing our website, creating an account, requesting a quotation, placing an order, or purchasing products or services from Astorion, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions.

If you do not agree with these Terms, you must not use our website or services.

2. Our Business

Astorion Australia specialists in supplying and decorating:

• Apparel and casual wear
• Corporate uniforms
• Workwear and safety garments
• Promotional clothing
• Headwear and accessories
• Embroidered apparel
• Direct-to-Film (DTF) transfers apparel
• Direct-to-Garment (DTG) printing apparel
• Screen printing apparel
• Promotional products and merchandise
• Custom branding solutions

We reserve the right to modify, add, discontinue, or replace products and services at any time without notice.

3. Customer Accounts

3.1 Account Registration

Customers may register an online account to access wholesale pricing, order history, saved designs, and other account features.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

3.3 Account Responsibility

You agree to ensure that all information provided is accurate, current, and complete.

3.4 Account Suspension

Astorion reserves the right to suspend, restrict, or terminate accounts where:

• False or misleading information is supplied;
• Fraudulent activity is suspected;
• Payment obligations are not met;
• Website misuse occurs;
• Intellectual property rights are infringed;
• Customer conduct adversely affects Astorion’s business or reputation.

4. Quotations

4.1 Validity

Unless otherwise specified, all quotations remain valid for thirty (30) days from the date of issue.

4.2 Basis of Quotation

Quotations are prepared based on information supplied by the customer, including artwork, garment selections, quantities, decoration requirements, and delivery details.

4.3 Price Adjustments

Astorion reserves the right to amend quotations where there are changes to:

• Artwork or design requirements;
• Product specifications;
• Quantities ordered;
• Freight costs;
• Supplier pricing;
• Currency exchange rates;
• Government taxes or charges.

4.4 Acceptance

A quotation does not constitute a binding agreement until accepted by Astorion in writing.

5. Orders

5.1 Order Acceptance

All orders are subject to stock availability and final acceptance by Astorion.

5.2 Right to Refuse Orders

Astorion may refuse, limit, cancel, or suspend any order where:

• Pricing errors occur;
• Stock is unavailable;
• Fraud is suspected;
• Payment cannot be verified;
• Intellectual property concerns exist.

5.3 Custom Orders

Orders involving embroidery, DTG printing, DTF printing, screen printing, promotional products, or custom manufacturing cannot be cancelled once production has commenced.

5.4 Backorders

Where products are temporarily unavailable, Astorion may place items on backorder and dispatch them when stock becomes available.

6. Pricing

6.1 Currency

All prices are quoted in Australian Dollars (AUD).

6.2 Additional Charges

Unless otherwise stated, prices exclude:

• Goods and Services Tax (GST)
• Freight and delivery charges
• Insurance
• Artwork and design fees
• Digitising fees
• Setup charges
• Express production fees

6.3 Price Changes

Prices may change without prior notice.

6.4 Invoicing

Products and services will be invoiced at the applicable price at the date of dispatch or completion.

7. Payment Terms

7.1 Retail Customers

Retail customers must pay all invoices in full prior to production or dispatch.

7.2 Trade Customers

Approved trade customers may be granted credit facilities subject to separate approval.

Unless otherwise agreed:

• Payment terms are 30 days from invoice date;
• Overdue accounts may incur interest charges;
• Astorion may suspend supply until outstanding balances are paid.

7.3 Recovery Costs

Customers agree to pay all reasonable collection costs, legal expenses, and recovery fees incurred in collecting overdue accounts.

8. Product Information

Product images, colours, specifications, measurements, and descriptions are provided as a guide only.

Due to manufacturing processes, reasonable variations may occur in:

• Colour shades;
• Fabric weights;
• Garment sizing;
• Shrinkage;
• Decoration placement;
• Print appearance.

Such variations are considered normal industry tolerances and do not constitute defects.

9. Artwork Approval

Customers are responsible for carefully reviewing all artwork proofs before approval.

Artwork approval confirms acceptance of:

• Spelling;
• Grammar;
• Logo placement;
• Colours;
• Sizing;
• Product selection;
• Decoration methods.

Astorion accepts no responsibility for errors approved by the customer.

10. Embroidery, DTF, DTG and Decoration Services

Minor variations in decoration placement, colour matching, and production appearance are normal manufacturing tolerances.

Colour reproduction may vary due to:

• Screen displays;
• Fabric composition;
• Ink and thread variations;
• Production batches.

Customers requiring precise colour matching are encouraged to request production samples.

Unless otherwise agreed in writing, exact Pantone colour matching is not guaranteed.

11. Shipping and Delivery

Delivery dates are estimates only and are not guaranteed.

Astorion shall not be liable for delays caused by:

• Freight providers;
• Customs authorities;
• Supplier shortages;
• Industrial action;
• Weather events;
• Government restrictions;
• Events beyond our reasonable control.

Risk in goods passes to the customer upon delivery.

12. Returns and Refunds

Claims for shortages or incorrect goods must be made within 48 hours of delivery.

Defect claims must be submitted within seven (7) days of discovery.

Customised, decorated, embroidered, DTG printed, or DTF printed products cannot be returned unless defective.

Change-of-mind returns may be accepted at Astorion’s discretion and may be subject to a restocking fee.

13. Intellectual Property

All website content, logos, trademarks, graphics, photographs, designs, and marketing materials remain the property of Astorion Australia or its licensors.

Customers warrant that any artwork supplied to Astorion does not infringe third-party intellectual property rights.

Customers agree to indemnify Astorion against any claims arising from customer-supplied artwork.

14. Limitation of Liability

To the maximum extent permitted by law, Astorion’s liability shall be limited to:

• Repair;
• Replacement;
• Resupply; or
• Refund.

Astorion shall not be liable for any indirect, incidental, special, consequential, or business-related losses, including loss of profits, business interruption, goodwill, or anticipated savings.

15. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law.

Where permitted by law, Astorion’s liability is limited to the remedies specified above.

16. Force Majeure

Astorion shall not be liable for delays or failures caused by events beyond its reasonable control, including:

• Natural disasters;
• Floods;
• Fires;
• Pandemics;
• Government actions;
• Supply chain disruptions;
• Utility failures;
• Transportation interruptions.

17. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.
